These Terms of Service ("Terms") govern your access to and use of the ShinobiRise website, services, and related offerings (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Description of Services

ShinobiRise provides strategic launch partnership services for creators with 10k–100k engaged followers, including free monetization assessments, personalized revenue roadmaps, and potential collaboration on digital product development, launches, and optimization. Services are provided on a case-by-case basis and may involve revenue-sharing arrangements as outlined in separate agreements.

Free Assessment

The free creator monetization assessment is a diagnostic tool to identify revenue blocks and provide a customized roadmap. Participation is voluntary and does not guarantee partnership or specific results.

3. User Accounts and Responsibilities

You may need to provide information (e.g., Instagram handle, email) to use certain features. You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of any account credentials
• Notify us immediately of any unauthorized access
• Be solely responsible for all activities under your account

4. User Content

Any content you submit (e.g., via forms, messages, or assessments) grants us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display it as necessary to provide the Services. You represent that you own or have rights to such content and that it does not violate third-party rights.

5. Intellectual Property

All content, designs, trademarks, and materials on our website (including roadmaps, assessments, and tools) are owned by ShinobiRise or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6. Prohibited Activities

You agree not to:

• Use the Services for illegal purposes or in violation of any law
• Interfere with or disrupt the Services (e.g., hacking, viruses)
• Impersonate others or provide false information
• Harvest or scrape data from our website
• Post harmful, defamatory, or infringing content
• Attempt to reverse-engineer our tools or assessments

We may suspend or terminate your access for violations.

7. Partnerships and Revenue Sharing

If selected for partnership, terms will be governed by a separate agreement detailing scope, responsibilities, revenue sharing (From 80/20, 70/30, 60/40 or typically 50/50 split depending on the project), and other specifics. No partnership is guaranteed from the assessment.

8. Disclaimer of Warranties

The Services are provided "as is" without warranties of any kind. We do not guarantee specific results, revenue increases, or error-free operation. Assessments and roadmaps are for informational purposes only and not financial advice.

9. Limitation of Liability

To the fullest extent permitted by law, ShinobiRise shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed any amounts paid by you in the past 12 months (or $100 if no payments).

10. Indemnification

You agree to indemnify and hold ShinobiRise harmless from any claims, losses, or expenses arising from your violation of these Terms or misuse of the Services.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any disputes shall be resolved through binding arbitration in Delaware, except for small claims court matters.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or website notice. Continued use after changes constitutes acceptance.
